1. Acceptance of Terms

By accessing and using The Savings Group Vendor Questionnaire platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are submitting this questionnaire on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, please do not use the Platform or submit any information through it.

2. Purpose of the Platform

This Platform is designed to collect information from potential vendors and partners as part of The Savings Group's vendor evaluation and procurement process. The questionnaire is intended for business-to-business use only and should be completed by authorized representatives of vendor organizations.

3. Accuracy of Information

By submitting information through this Platform, you represent and warrant that:

• All information provided is true, accurate, current, and complete to the best of your knowledge
• You have the authority to provide the information on behalf of your organization
• The information does not infringe upon any third-party rights
• You will promptly update any information that becomes inaccurate or incomplete

The Savings Group reserves the right to verify any information provided and to disqualify vendors who provide false or misleading information.

4. Confidentiality

Your Information: We treat all information submitted through this Platform as confidential business information. We will not disclose your responses to third parties except as described in our Privacy Policy or as required by law.

Our Information: The structure, content, and evaluation criteria of this questionnaire are proprietary to The Savings Group. You agree not to share, reproduce, or distribute the questionnaire or any related materials without our prior written consent.

5. Intellectual Property

Platform Content: All content, design, graphics, logos, and software on this Platform are the property of The Savings Group or its licensors and are protected by intellectual property laws.

Your Submissions: You retain ownership of all intellectual property rights in the information you submit. By submitting information, you grant The Savings Group a non-exclusive, royalty-free license to use, review, and evaluate the submitted information for the purpose of vendor assessment and potential business relationship development.

6. No Obligation

Submission of a completed questionnaire does not:

• Guarantee selection as a vendor or partner
• Create any contractual obligation between the parties
• Entitle you to any compensation or reimbursement
• Obligate The Savings Group to provide feedback on your submission
• Prevent The Savings Group from engaging with competing vendors

The Savings Group reserves the right to modify, suspend, or terminate the vendor evaluation process at any time without notice or liability.

7. Acceptable Use

When using this Platform, you agree not to:

• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to the Platform or its systems
• Interfere with or disrupt the Platform's operation
• Use automated systems or bots to access the Platform
• Reverse engineer or attempt to extract source code from the Platform
• Use the Platform for any unlawful purpose

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. We recommend saving your progress frequently using the "Save Progress" feature.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SAVINGS GROUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR SUBMISSION OF THE QUESTIONNAIRE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless The Savings Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your submissions, or your violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware, and the decision of the arbitrator shall be final and binding.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Savings Group regarding the use of this Platform and supersede all prior agreements and understandings.
